1. WHO WE ARE AND HOW TO CONTACT US

1.1        Who we are. Hachette UK Limited is a company registered in England and Wales, with registration number 2020173 and registered office at Carmelite House, 50 Victoria Embankment, London, EC4Y 0DZ (“Hachette”, “we”, “us”, “our”). Our registered VAT number is GB205505305.
1.2        How to contact us. For queries about our events, services or your order, you can contact us by email at festivalsupport@hachette.co.uk. Alternatively, you can write to us at the address in paragraph 1.1 above.
1.3        How we may contact you. If we have to contact you, we will do so by telephone or by writing (including email) to you at the email address or postal address you provided to us in your order.

2. THESE TERMS

2.1        What these terms cover. These are the terms and conditions on which we bring to you Edinburgh Wellbeing Festival on the 7th and 8th May 2022 at the Assembly Rooms, 54 George Street, Edinburgh (the “Event”). These terms and conditions should be read in accordance with any venue terms and conditions, copies of which are available upon request from the venue.
2.2        Why you should read them. Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide our services to you, what to do if there is a problem and other important information. If you think that there is a mistake in these terms, please contact us to discuss.

3. OUR CONTRACT WITH YOU

3.1        How we will accept your order. When you submit any order to us, this does not mean we have accepted your order for the tickets. Ticket prices and offers are subject to availability, and are not confirmed until payment has been successfully received. When your order has been accepted, you will receive an email confirming this. We will also send you an email containing your e-ticket(s). Please check your confirmation email and contact us immediately if there is a mistake.
3.2        If we cannot accept your order. If we are unable to accept your order, we will inform you of this and will not charge you. This might be because the event has sold out or because of unexpected limits on our resources which we could not reasonably plan for.
3.3        Your order number. We will send you an email to confirm receipt of your order. This email will contain your order number. It will help us if you can tell us the order number whenever you contact us about your order.
3.4        Territories. You may make a purchase from most countries throughout the world. If we are unable to accept your order, we will tell you and will not charge you for the order. There may be additional charges in some territories. These are outside our control and must be borne by you.

4. TICKET PURCHASES

4.1        Age restrictions. You must be 18 or over to purchase tickets for the Events.
4.2        Group bookings. Please note that a maximum of 8 tickets may be purchased for each Event. If you wish to purchase more than 8 tickets for an Event, please contact us using the contact details at paragraph 1.2.
4.3        No resale and transfer. In no circumstances may the tickets be resold or transferred. We may, at our discretion, refuse admission to the Event to the holders of any transferred or resold tickets.
4.4        Loss, deletion and re-issuing of tickets. We will not be responsible for any tickets that are lost, stolen or destroyed. In the case of any loss or accidental deletion of tickets, please contact us (using the contact details at paragraph 1.2) as soon as possible. Tickets will only be re-issued to the purchaser, and only on the email address originally used to place the order. If, for any reason, a ticket cannot be presented at the Event, the purchaser must arrive at the venue at least 30 minutes prior to the start time of the Event, with proof of purchase, to allow the box office time to re-issue the ticket. In case of theft, it is the responsibility of the purchaser to contact us so that the tickets can be cancelled and re-issued. We reserve the right to charge an admin fee for any re-issued ticket. We reserve the right to demand proof of identity if you do not present a valid ticket. Please note that where a concession is claimed, proof of identity and concession entitlement may be required. Failure to supply such proof when required may result in the full ticket price being charged.

5. THE EVENTS

5.1        Entry into the Event. All tickets must be presented in order to gain entry into the Event. Admission to the Event is at all times subject to any terms, conditions or rules of the venue operator. If you breach those terms, conditions or rules then the venue operator may refuse admission or require you to leave the venue. Latecomers may not be admitted and no refunds will be issued in this circumstance.
5.2        Event Activities. The Event programme may include classes, talks and workshops which you may choose to participate in (“Activities”) which are organised and conducted by third parties (“Activity Organisers”). You are not permitted to take pictures, sound recordings or videos of these Activities, unless expressly permitted by Activity Organisers. Mobile phones and other electronic equipment must be switched off during Activities, unless expressly permitted by Activity Organisers. Participation in Activities is subject to any terms, conditions or rules of Activity Organisers.
5.3        Participation in Activities and attendance at the Events. Participation in the Activities and attendance at the Events may involve inherent risks and dangers of accidents, personal and bodily injury (including death) and property loss or damage. These may result from your own actions or inactions, as well as the actions or inactions of others, and/or the condition of the venue. By agreeing to these terms, you agree that you have considered the nature and extent of the risks involved, inspected and satisfied yourself with the venue and its facilities and you voluntarily choose to assume all risks involved in your participation in Activities and attendance at the Events, both known and unknown. Hachette is not responsible or liable for any injuries or damages you (or your property) may sustain as a result of your participation in the Activities and attendance at the Events (except for where paragraph 8.1 applies).
5.4        Injuries. You authorise and permit event medical personnel, physicians, paramedics and other medical personnel to administer first aid treatment or any medical treatment or transportation in the event that you suffer any illness, accident or injury in connection with your participation in the Activities and attendance at the Events or any other incident occurs following which, in the reasonable judgment of the on-site personnel, you require medical care. To the extent permitted by applicable law, you agree that you will pay your own medical emergency expenses, transportation expenses and all subsequent medical expenses which arise out of any illness, accident or injury you may suffer as a result of your participation in the Activities and attendance at the Events (except for where paragraph 8.1 applies).
5.5        Insurance. We do not provide you with any insurance, either life, travel, medical or liability, for any illness, accident, injury, loss, or damage that may arise in connection with your participation in the Activities and attendance at the Events. Personal insurance of any kind is optional and you must obtain it yourself. Insurance, all expenses and incidentals not mentioned above are your responsibility. In the event that you elect not to take part in any or all designated activities forming a part of the Event, you will be afforded no additional compensation (including any exchange or refunds). Further, you warrant that you are not aware of any pre-existing medical conditions or injuries which would place you at risk through participation in the Events or its Activities and if you do have any such conditions or injuries, you undertake to disclose them to venue staff and/or Activity Organisers prior to participating in the Event (or Activities).
5.7        Recordings. We, our service providers or partners may record the Events. For more information on how we may use your personal data, please see our Privacy Policy (https://bit.ly/3HZuwn9). To the extent permitted by law, you irrevocably grant Hachette and its associated entities and, where authorised by Hachette, third party commercial partners, the right indefinitely and throughout the world, without any expectation of compensation, to use your photograph, video, image, likeness or other recorded media obtained in connection with the Events or Activities in any media for the purpose of advertising, promoting, marketing, and selling Hachette and associated entities’ products and services and/or promoting the Events.
5.8        Your conduct. You shall participate in a manner which is as safe as reasonably possible and, in particular, you shall abide by the rules of the Events and venues, adhere to the safety information and instructions and take reasonable care to avoid dangerous situations. In the event that you fail to comply with the above rules, we reserve the right to remove you from the Events and/or ban you from future events.
5.9        Our rights to refuse entry. We reserve the right to refuse you entry to and/or remove you from the Event and/or the venue  in reasonable circumstances including without limitation:
5.9.1          if you behave in a manner which has or is likely to affect the enjoyment of others at the Event or if you do anything that is:
(a)        unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
(b)        facilitates illegal activity;
(c)         promotes unlawful violence;
(d)        discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
(e)        is otherwise illegal or causes damage or injury;
5.9.2          if you fail to produce proof of identity or age when required
5.9.3          if you refuse to co-operate with the venue’s security searches; or
5.9.4          if you breach these terms or the venue terms; and
no refunds will be issued to you if you are refused entry or removed due to your own behaviour and/or fail to comply with these terms.
5.10     Covid-19. We reserve the right to refuse you entry to and/or remove you from the Event and/or the venue  in reasonable circumstances including without limitation for health and safety reasons such as:
5.10.1       if you fail to comply with any instructions, measures and/or rules put in place to combat the spread of Covid-19; or
5.10.2       if you fail to provide proof of a negative covid test or vaccination passport on request; and
no refunds will be issued to you if you are refused entry or removed due to your own behaviour and/or you fail to comply with these terms.

6. PRICE AND PAYMENT

6.1        Where to find the price for the tickets. The price of the tickets (which excludes VAT, if applicable) will be the price indicated on the order pages when you placed your order. The price inclusive of VAT will be indicated on the payment page. We take reasonable care to ensure that the price of the tickets advised to you is correct. However, please see paragraph 6.2 below for what happens if we discover an error in the price of the tickets you order.
6.2        What happens if we got the price wrong. It is always possible that, despite our best efforts, some of the tickets we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the ticket’s correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the ticket’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order.
6.3        When you must pay and how you must pay. We accept payment by the means specified on our website. Payment must be made at the time of ordering.

7. CANCELLATION, RESCHEDULING AND REFUNDS

7.1        Exchanges and refunds. Tickets cannot be exchanged or refunded after purchase unless the Event is cancelled or rescheduled (subject to the below).
7.2        Alterations and rescheduling. We reserve the right to make alterations to the Event (including, but not limited to, its programme) where necessary. Where an Event is rescheduled, we will use our reasonable endeavours to notify you using the details you provided us with at the time of ordering. You will have the option of either retaining your tickets for the re-scheduled Event, or alternatively claiming a refund including any booking fees. In order to claim your refund, please apply in writing to: festivalsupport@hachette.co.uk or Angela Robertson, Head of Live Events, Hachette UK, 50 Frederick Street, Edinburgh EH 2 1EX.
7.3        Cancellation. In the unfortunate event where we have to cancel an Event (for example, due to Covid-19 restrictions), we will use our reasonable endeavours to notify you using the details you provided us with at the time of ordering, and you will receive an automatic refund including any booking fees. Where an Event is cancelled due to causes outside our reasonable control (including, without limitation, such as acts of god, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes or other natural disasters, shortages of transportation facilities, fuel, energy, labour or materials or a failure of public or private telecommunications networks) you will receive an automatic refund including any booking fees.
7.4        Agreed refunds. We will only make refunds to the same method of payment which you used to make your purchase. We will make any refunds due to you as soon as possible.

8. OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU

8.2        When we are not liable. We will not be liable for loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with your attendance and participation at the Event (including, but not limited to, your participation in Activities).
8.3        We are not liable for business losses. These terms apply to consumers who have made a purchase for domestic and private use. If you use your tickets for commercial, business or re-sale purpose, we will have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
8.4        Our liability to you. Subject to the above, our total aggregate liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, or otherwise, under or in connection with these terms, shall be limited to the price paid by you to us for the tickets.

9. OTHER IMPORTANT TERMS

9.1        Your personal information. We will only use your personal information as set out in our Privacy Policy (https://bit.ly/3HZuwn9).
9.3        We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation.
9.5        Nobody else has any rights under this contract. This contract is between you and us. No other person shall have any rights to enforce any of its terms.
9.6        If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
9.7        Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.
9.8 Which laws apply to this contract and where you may bring legal proceedings. These terms, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
